Unlimited Powers for certain Transactions

Notwithstanding any restrictions placed on the powers of authority imposed in this document, all authorised representatives (with the exception of those who do not have the power to enter and/or consult), have, in respect of the possibilities put forward by ING Belgium, the power to act alone, and without any limitation on the amount (subject to the balance available or where appropriate, up to the loan ceiling), in making transfers, electronically or otherwise, to and from any sub-accounts (for instance the Business Account (section number 084*), the Bonus Account (section number 086*) and/or the FlexiBonus Account (section number 087 or 088*) to said holder reference accounts to which it/they are linked, and vice versa. Likewise, in connection with the possibilities put forward by ING Belgium, they have the power to act alone, and without any limitation on the amount (subject to the ceiling of the line granted), in using electronically or by any other means, any credit line granted by ING Belgium which is made to the holder's account (for instance, a fixed-term advance) or in a sub-account (for instance, the Opticash Account (section number 035*)) linked to the holder's reference account. They also have the power to repay alone, and without any limitation on the amount (subject to the available balance or, where appropriate, the ceiling of the line granted), electronically or by any other means, any credit line granted by ING Belgium for a sub-account, by debit to the holder's reference account to which the sub-account is linked.

* The sub-account number is a three-digit extension of the reference account number that serves to identify the sub-account.

Operations covered by the Administration Powers

  1. In connection with the possibilities put forward by ING Belgium, the authorised representative may, where appropriate and under conditions compatible with the limits of his/her authorisation rights, electronically perform the following:

    1. make withdrawals and credit transfers, pay out on sub-accounts, if appropriate, even if this is in his/her favour, the account(s) included in the "Legal Entity Account Opening" or "Mandate Management" screen, consent to those accounts being made indivisible, conclude all agreements whatsoever relating thereto;
    2. issue all cheques whatsoever, endorse and discount bills of exchange and warrants, take delivery of all or part of their discounted amount, write promissory notes, endorse and give the aval for all bills of exchange whatsoever;
    3. conduct all foreign exchange transactions of any kind;
    4. borrow all sums whatsoever, conclude and draw down on all credit facilities whatsoever, subject to any requirement for the holder’s signature that may be stipulated by ING Belgium, at its discretion, in such cases;
    5. in general, undertake all banking transactions whatsoever, subject to the proviso in point (d);
    6. to these ends, sign, at his/her discretion, all documents, receipts and releases, and elect an address for service;
    7. receive from ING Belgium all information, correspondence and documents relating to the transactions that he/she him/herself has undertaken, or that have been undertaken by the holder(s) for the accounts included in the "Legal Entity Account Opening" or "Mandate Management" screen during the whole period in which he holds the administration rights, with such information being limited to the period of the authorisation but obtainable after that period has ended;
    8. obtain from ING Belgium and use for the management of the account(s) included in the "Legal Entity Account Opening" or "Mandate Management" screen all means (including cards, access to electronic channels, codes, etc.) allowing the day-to-day banking operations described above in points a to g and below in point B to be conducted via authentication using a related secret code;
    9. with regard to the means outlined under point h, sign any agreement;
    10. enter into any agreement concerning the opening of sub-account(s) linked to the holder's reference account(s) (for instance, the Business Account (section number 084*), the Bonus Account (section number 086*) and/or the FlexiBonus Account (section number 087 or 088*)), to the exclusion of the opening of any sub-account(s) to which a credit line is granted (for instance, the Opticash Account (section number 035*)).

  2. In connection with the possibilities put forward by ING Belgium, where appropriate, the authorised representative may also undertake, if applicable electronically, all securities transactions whatsoever and sign all agreements and contracts relating to the tax treatment and fungibility of such securities.

    Not all the operations mentioned in the points above are necessarily available for authorised representatives for whom only electronic authority is granted (for example: securities transactions are unavailable via the Telelink@Isabel services) nor that for all the account types concerned (savings accounts, etc.).

Mail mandate

The holder of the account(s) authorises the authorised representative to collect the mail relating to this/these account(s) from all branches of the Bank where it shall be held.
